Terms of Service

These terms cover use of younix.xyz and the baseline rules for a Younix engagement. A specific accepted project agreement comes first.

In these terms, “Younix” means the service provider identified in an accepted proposal, statement of work, quote, or invoice. “Client” means the person or organisation accepting that agreement.

1. Scope and acceptance

By using this website, you agree to the website-use provisions of these terms. A paid engagement begins only when the parties accept a written proposal, statement of work, quote, order, or other project agreement. That project agreement controls if it conflicts with these baseline terms.

You must be at least 18 and legally able to enter an agreement. If you act for an organisation, you confirm that you have authority to bind it.

2. Services and fixed scope

Younix provides systems audits, websites, automation, integrations, communication workflows, AI-enabled tools, and related strategy, implementation, training, or support. The project agreement defines the actual deliverables, assumptions, exclusions, dependencies, timeline, acceptance method, and support included.

Fixed quote means fixed agreed scope.

Younix will not add fees to the agreed scope without written approval. New requirements, changed assumptions, additional integrations, and third-party costs are documented and approved before they are added.

3. Client responsibilities

The client agrees to:

  • Provide accurate information, timely decisions, feedback, access, and one authorised point of contact.
  • Have the legal right to provide all content, data, credentials, systems, trademarks, and instructions used in the work.
  • Maintain appropriate backups and approve production changes unless backup or approval work is expressly included.
  • Review deliverables, test important workflows, and report material departures from the agreed specification within the review period stated in the project agreement.
  • Obtain notices, consents, licences, and internal approvals required for its business, users, data, marketing, and automated workflows.

A delay in client inputs or a material change in dependencies may move delivery dates and require a revised plan.

4. Fees and payment

Fees, currency, milestones, due dates, taxes, deposits, cancellation terms, and any recurring support are stated in the project agreement or invoice. Unless expressly included, the client pays for its own software subscriptions, advertising, messaging, hosting, domains, payment processing, and other third-party usage.

Younix may pause work after notice if an undisputed payment is overdue. Fees for completed work and non-cancellable third-party commitments remain payable. Any refund, rescheduling, or cancellation right stated in the project agreement takes priority.

5. Delivery and communication

During an active build, Younix’s normal cadence is a working demo each Friday and a reply to routine project communication within one business day. A project agreement may set a different cadence. These commitments are communication and visibility standards, not a promise of uninterrupted availability or an emergency support SLA.

Timelines depend on timely client input, stable third-party services, and the assumptions recorded in scope. Neither party is responsible for delay caused by events outside its reasonable control, but the affected party should communicate the impact promptly.

6. Ownership and licences

  • The client keeps ownership of its data, content, trademarks, accounts, and materials.
  • After full payment, the client receives the rights to project-specific final deliverables stated in the project agreement.
  • Younix keeps ownership of pre-existing tools, methods, templates, know-how, generic components, and improvements that do not disclose client confidential information. Where embedded in a deliverable, the client receives the licence needed to use that deliverable.
  • Open-source software, stock assets, fonts, APIs, and other third-party materials remain governed by their respective licences.

Younix will not publish a client’s name, logo, work, or results as a case study without written permission.

7. Third-party services

Projects may depend on hosting, domains, payment processors, communication providers, AI models, APIs, open-source software, or other client-selected services. Their own terms, privacy policies, prices, limits, and availability apply. Younix will identify known material dependencies, but does not control changes, outages, suspensions, or data practices of those providers.

Client-owned accounts are preferred where practical. The client is responsible for ongoing subscriptions, policy compliance, and account administration after handover unless support is separately agreed.

8. Data and confidentiality

Each party will use the other’s non-public business, technical, and commercial information only for the engagement, protect it with reasonable care, and disclose it only to people or providers who need it and are bound by appropriate duties. These obligations do not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source.

If law requires disclosure, the receiving party may disclose only what is required and, where legally allowed, will give prompt notice. Personal data is also handled under the Privacy Policy and any project-specific data-processing terms.

9. AI and automation

AI output can be incomplete, inaccurate, biased, or non-unique. Automation can fail when source data, credentials, APIs, policies, or third-party systems change. Unless the project agreement expressly says otherwise, AI output and important automated actions require appropriate human review before use.

The client remains responsible for the lawful use, notices, approvals, monitoring, and business decisions connected to a deployed system. A system must not be used for regulated advice or high-impact decisions about a person without a specifically agreed design, safeguards, and qualified review.

10. Results and warranties

Younix will perform the agreed services with reasonable skill and care and will address reproducible material defects against the accepted specification during any warranty or support period stated in the project agreement.

Business results depend on factors outside Younix’s control, including the offer, market, traffic, pricing, client operations, user behaviour, and third-party platforms. Unless expressly written into the project agreement, Younix does not guarantee revenue, rankings, conversion rates, leads, cost savings, platform approval, or uninterrupted service. Mandatory rights that cannot legally be excluded remain unaffected.

11. Suspension and termination

Either party may terminate as allowed by the project agreement. Younix may suspend affected work after reasonable notice for material breach, overdue undisputed fees, unlawful instructions, security risk, abuse, or a third-party restriction that makes delivery unsafe or impracticable.

On termination, the client pays for work performed and approved non-cancellable costs up to the termination date. Younix will provide paid-for deliverables and a proportionate handover subject to the project agreement. Payment, ownership, confidentiality, liability, and dispute provisions survive where their purpose requires it.

12. Liability

To the fullest extent permitted by law, neither party is liable under an engagement for indirect, incidental, special, or consequential loss, or for lost profit, revenue, opportunity, goodwill, or data, except where the law does not allow that exclusion.

Unless a project agreement sets a different limit, Younix’s total liability arising from a project is limited to the fees actually paid to Younix for the affected project. This limit does not apply to liability that cannot lawfully be limited, and it does not reduce any mandatory consumer right.

13. Acceptable website use

You may not use this website to:

  • Break a law, infringe rights, impersonate others, or mislead.
  • Introduce malware, test vulnerabilities without written permission, bypass controls, or disrupt the site or its providers.
  • Scrape or automate requests at a volume that degrades service, or reproduce Younix branding, writing, design, or assets as your own.

Website content is general information, not professional legal, financial, tax, or security advice and not a guarantee that a service is suitable for a particular business.

14. General terms

The accepted project agreement and these incorporated terms form the agreement for the relevant work and replace earlier discussions about the same scope. A failure to enforce a term is not a waiver. If a provision is unenforceable, it will be narrowed where possible and the remaining provisions continue.

Neither party may transfer the agreement without the other’s written consent, except as part of a genuine business reorganisation or sale where the successor assumes the obligations. Notices may be sent to the project contacts by email unless the project agreement requires another method.

Unless the project agreement says otherwise, Indian law governs the engagement. The parties will first try to resolve a dispute in good faith. The courts identified in the project agreement have the stated jurisdiction; for website-only use, the competent courts at Younix’s principal place of business have jurisdiction.

Younix may update these website terms prospectively. Changes do not rewrite an existing project agreement unless both parties accept them or applicable law requires the change. Questions can be sent to hello@younix.xyz.
